TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESURGENTZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in Boulder County, Colorado. You consent to the personal jurisdiction of such courts.

14. Arbitration Agreement

Except for disputes relating to intellectual property or seeking injunctive relief, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Boulder, Colorado.

YOU UNDERSTAND AND AGREE THAT BY ACCEPTING THESE TERMS, YOU AND RESURGENTZ ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated “Last Updated” date. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.

For material changes, we may provide additional notice, such as email notification to registered users.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement
